Terms of Service
These Terms of Service ("Terms") govern your access to and use of 9CLI, a software application provided by 9Punk LLC ("9Punk," "we," "us," or "our"), a limited liability company organized under the laws of the State of Texas, United States. By downloading, installing, accessing, or using 9CLI, you agree to be bound by these Terms. If you do not agree, do not use 9CLI.
What 9CLI Is
9CLI is a local-first developer tool that lets you run and manage multiple command-line
coding-agent sessions (including Anthropic's Claude Code) from a single dashboard on your
own computer. 9CLI runs locally on your machine. It is distributed via the npm registry
and run using npx 9cli.
9CLI is offered in two tiers:
- Free — full access to the application, limited to two (2) concurrently running sessions.
- Pro — a paid subscription that removes the concurrent-session limit and may include additional features described at the time of purchase.
We may add, change, or remove features over time. We will not remove core functionality from the Free tier that you currently rely on without reasonable notice where practicable.
Eligibility and Accounts
You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase a Pro subscription. Free use of 9CLI does not require an account.
To purchase or use Pro, you sign in using a supported third-party identity provider (currently Google, via Firebase Authentication). You are responsible for maintaining the security of the account you use to sign in and for all activity under your account. Notify us at contact@9punk.dev if you believe your account has been compromised.
Purchases, Billing, and Merchant of Record
Pro subscriptions are sold through Paddle, our authorized reseller and Merchant of Record. This means that when you purchase Pro, your contract of sale for payment is with Paddle, not directly with 9Punk LLC, and Paddle handles payment processing, billing, and applicable taxes. Your purchase is also subject to Paddle's Buyer Terms and Paddle's Refund Policy.
- Price: Pro is offered at $8 USD per month, or $80 USD per year or as otherwise presented to you at checkout. Prices are shown at the point of purchase and may change on a going-forward basis with notice as required by law.
- Subscription and auto-renewal: Pro subscriptions renew automatically for successive periods equal to your initial term until cancelled. You authorize Paddle to charge your payment method on each renewal.
- Cancellation: You may cancel at any time, effective at the end of your current billing period. You will retain Pro access until the end of the period you have paid for, and you will not be charged again after cancelling. Cancellation is handled through Paddle's buyer portal (accessible from your purchase-confirmation email) or by contacting Paddle.
- Taxes: Applicable sales tax, VAT, GST, or similar taxes are handled and collected by Paddle as Merchant of Record and may be added at checkout.
Refunds
Refunds are governed by our Refund Policy and by Paddle's Refund Policy. Because Paddle is the Merchant of Record, refund requests are processed through Paddle. In summary: consumers in the EU, EEA, and UK have a statutory right to withdraw within 14 days of purchase, subject to the conditions in our Refund Policy (including where you have begun using the product after agreeing to immediate access). We also honor the refund terms described in our Refund Policy for other customers. See the Refund Policy for full details.
License to Use 9CLI
Subject to these Terms, 9Punk grants you a limited, non-exclusive, non-transferable, revocable license to install and use 9CLI for your own personal or internal business purposes. The number of devices on which you may use a single Pro subscription may be limited (currently up to three (3) activated devices per Pro account); details are presented in the product and may be updated over time.
This license does not transfer ownership. 9CLI, including its software, code, design, and branding, remains the property of 9Punk LLC and its licensors.
Acceptable Use
You agree not to:
- Use 9CLI in violation of any applicable law or regulation;
- Reverse engineer, decompile, or attempt to circumvent the licensing, entitlement, or session-limit mechanisms of 9CLI, or use 9CLI in excess of the tier you have paid for;
- Resell, redistribute, sublicense, or share your Pro subscription or account credentials with others except as expressly permitted;
- Use 9CLI to build, train, or operate a competing product by copying its functionality; or
- Interfere with or disrupt the integrity or performance of 9CLI or any related services.
We may suspend or terminate your access to Pro features, and to any related services, if you materially breach these Terms or if we reasonably suspect fraud or abuse.
Third-Party Software and Services
9CLI runs and manages third-party tools on your machine at your direction, including
Anthropic's Claude Code, git, and your shell. Your use of those tools is
governed by their own terms and licenses, and 9Punk is not responsible for them. When you
use such tools through 9CLI, they may make their own network connections (for example,
Claude Code communicating with Anthropic, or git pushing to a remote you
configure). These are actions you initiate, not telemetry from 9CLI. See our
Privacy Policy for details on what 9CLI itself does and does not
transmit.
9CLI also relies on third-party services for accounts and billing, including Google (sign-in), Firebase (authentication, data, and backend functions), and Paddle (payments). Your use of those services in connection with 9CLI is also subject to their respective terms.
Your Content and Data
9CLI is local-first. Your source code, prompts, agent sessions, and project files stay on your machine; 9Punk's servers do not receive them. 9Punk's servers receive only the account, billing, device-activation, and subscription-entitlement information necessary to operate the Pro tier, as described in our Privacy Policy. You are responsible for backing up your own code and data.
Disclaimers
9CLI IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT 9CLI WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT IT WILL MEET YOUR REQUIREMENTS. YOU USE 9CLI, AND RUN CODING AGENTS THROUGH IT, AT YOUR OWN RISK. YOU ARE RESPONSIBLE FOR REVIEWING THE ACTIONS TAKEN BY ANY AGENT YOU RUN.
Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under applicable law, including mandatory consumer-protection rights.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, 9PUNK LLC AND ITS MEMBERS, MANAGERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) 9CLI, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, 9PUNK'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR 9CLI WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FOR PRO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50).
This section does not limit liability that cannot be limited under applicable law (including liability for fraud, or for death or personal injury caused by negligence).
Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless 9Punk LLC from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of 9CLI or your breach of these Terms.
Termination
You may stop using 9CLI at any time and cancel any Pro subscription as described above. We may suspend or terminate your access to Pro and related services if you breach these Terms or as otherwise permitted here. Provisions that by their nature should survive termination (including licensing restrictions, disclaimers, limitations of liability, and governing law) will survive.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where required by law or reasonably practicable, provide additional notice. Your continued use of 9CLI after changes take effect constitutes acceptance of the updated Terms, except where your express consent is required by law.
Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules, except where mandatory consumer-protection law in your place of residence provides otherwise. Any dispute not subject to such mandatory local law will be brought in the state or federal courts located in Hidalgo County, Texas.
Nothing in this section affects statutory rights available to consumers in their country of residence.
